These Terms and Conditions ("Terms") govern your use of the ProviaRx website, patient portal, mobile application, and all related services (collectively, the "Platform"), operated by ProviaRx, LLC, a Texas limited liability company. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.
Even if you arrived at the Platform through a third-party website or advertisement, these Terms govern your relationship with ProviaRx exclusively. If you do not agree with any of these Terms, you must immediately discontinue use of the Platform.
ProviaRx reserves the right, in its sole discretion, to amend these Terms at any time and for any reason. Active subscribers will receive 30 days' email notice of material changes. Your continued use of the Platform after amended Terms are posted constitutes acceptance of those changes. If any provision is unacceptable to you, your sole remedy is to discontinue use of the Platform.
ProviaRx does NOT provide any Healthcare Services through the Platform and is NOT licensed to practice medicine. ProviaRx does not control or interfere with the provision of Healthcare Services by medical providers and affiliated professional entities, each of whom is independent and solely responsible for their services. ProviaRx is not responsible for Healthcare Services, or your use of any Healthcare Services provided by a medical provider or affiliated professional entity, including any personal injury or property damage.
All medical providers who deliver Healthcare Services through the Platform are: (i) independent professionals contracted with affiliated professional entities that coordinate with ProviaRx; and (ii) solely responsible for such Healthcare Services provided to you. ProviaRx is not acting as a pharmacy, nor does it control or interfere with pharmacy services.

To use the Services through the Platform, all of the following must be true:
Satisfying these requirements does not guarantee receipt of Services. Medical providers may, on a case-by-case basis, determine that Services are not appropriate for a particular user. Residents of Kansas, Indiana, Mississippi, New Mexico, Oklahoma, and West Virginia must complete a live video consultation before prescribing. Residents of Alabama and California may only receive injectable GLP-1 medications per applicable state law.
The Platform may not be accessible at any time, for any period, or for any reason, and ProviaRx will not be liable if, for any reason, all or any part of the Platform is unavailable at any time or for any period. ProviaRx reserves the right to modify, temporarily or permanently discontinue the Platform or any portion thereof, with or without notice. ProviaRx shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.
Access to Services requires registration and creation of a patient account. You agree that:
User data submitted through the Platform may be used by ProviaRx, its service providers, and medical providers and their affiliated professional entities to provide Services, conduct research, and improve the Platform, all subject to our Privacy Policy and HIPAA Notice of Privacy Practices.

Subject to your compliance with these Terms, ProviaRx grants you a personal, limited, revocable, nonexclusive, and non-transferable license to access and use the Platform solely for your personal, non-commercial use. No other right, title, or interest in the Platform is transferred to you. All rights not expressly granted are reserved by ProviaRx and its licensors.
The Platform is structured for use with specific non-emergency health conditions and is NOT comprehensive medical advice, care, diagnosis, or treatment. Always seek advice from your physician or other qualified healthcare provider regarding personal health, medical conditions, or medications, and before commencing or discontinuing any treatment, drug, or medication. ProviaRx is a patient management platform that works with independent physicians. ProviaRx does not directly provide medical or pharmacy services, and payment does not guarantee the writing or dispensing of a prescription.
When you submit information for Healthcare Services, you agree to pay all fees due. By entering payment information and submitting your request, you authorize ProviaRx, its affiliates, or third-party payment processors (including Stripe) to charge the amount due. The following apply:
ProviaRx complies with HIPAA and all applicable state medical privacy laws. Please see our Privacy & HIPAA tab for full details. By using the Platform, you consent to ProviaRx sharing your health information with: (a) independent licensed physicians for evaluation and treatment; (b) independent licensed pharmacies for prescription fulfillment; (c) laboratory partners (e.g., Quest Diagnostics) for diagnostic testing; and (d) payment processors for billing. We never sell your health data for marketing purposes.
ProviaRx is the sole and exclusive owner of all right, title, and interest in and to the Platform and its content, features, and functionality, including all intellectual property rights. Any copy, modification, adaptation, or derivative work of the Platform is owned solely by ProviaRx or its licensors. Certain names, logos, and materials displayed on the Platform may constitute trademarks of ProviaRx. You are not authorized to use any such trademarks without express written permission.
The Platform may contain hyperlinks to third-party websites not under our control. ProviaRx is not responsible for the information, products, or services on linked sites and does not endorse them. Your use of third-party sites is at your own risk. ProviaRx is not liable for any content, errors, damage, or loss caused by third-party sites.
YOU ACKNOWLEDGE AND AGREE THAT THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. PROVIAHEALTH AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES AND SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE PLATFORM AND SERVICES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, FREEDOM FROM VIRUSES OR MALWARE, COMPLETENESS, TIMELINESS, FUNCTIONALITY, RELIABILITY, OR SPEED OF DELIVERY. PROVIAHEALTH DOES NOT GUARANTEE THE PLATFORM WILL BE UNINTERRUPTED OR FREE FROM ERROR, DEFECT, LOSS, DELAY, CORRUPTION, CYBER ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION.
You agree to indemnify, defend, and hold harmless ProviaRx, LLC and its officers, directors, employees, affiliates, agents, licensors, and suppliers from and against any and all third-party claims, demands, liabilities, costs, or expenses, including reasonable attorneys' fees, arising from or related to: (i) any breach by you of these Terms; (ii) your use of the Platform in an unauthorized manner; (iii) your provision of false or inaccurate health information; (iv) a violation by you of any applicable law or regulation; or (v) any claim by a third party arising from your conduct on or through the Platform.
These Terms remain in full force while you access or use the Platform. You may terminate at any time by discontinuing use. ProviaRx may terminate or suspend your access with or without prior notice, at any time, for any reason. Following termination, ProviaRx has no further obligation to provide Services, except as required by applicable legal, ethical, and professional obligations, including access to your health records.
ProviaRx complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Platform infringes your copyright, submit a notification to [email protected] including: (1) electronic or physical signature of the authorized copyright owner; (2) identification of the copyrighted work; (3) identification of the infringing content and its location on the Platform; (4) your contact information; (5) a statement of good-faith belief that use is not authorized; and (6) a signed statement that the information is accurate and, under penalty of perjury, that you are the copyright owner or authorized agent.
You and ProviaRx agree that any dispute or claim arising out of or relating to these Terms, your use of the Platform, or any Services (a "Dispute") will be resolved by binding arbitration rather than in court. This includes claims arising before or after the effectiveness of this Agreement.
This Arbitration Clause does not require arbitration of: (1) small claims court actions where requirements are met on an individual basis; and (2) claims pertaining to intellectual property rights, including trademarks, trade dress, domain names, trade secrets, copyrights, and patents.
Before initiating arbitration, you agree to send an individualized Pre-Arbitration Demand to [email protected] so that the parties may attempt to resolve the Dispute informally. If not resolved within sixty (60) calendar days, either party may commence arbitration.
You may reject this Arbitration Clause by sending an email to [email protected] within thirty (30) calendar days of first accepting these Terms. Your opt-out notice must include your full name, address, account email address, and a clear statement that you decline arbitration. No one may opt out on another person's behalf.
Arbitration will be administered by National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules, before a single arbitrator. The Federal Arbitration Act ("FAA") governs this clause. If NAM is unavailable, parties will select an alternative provider or ask a court of competent jurisdiction to appoint an arbitrator pursuant to 9 U.S.C. § 5. Arbitration may be conducted remotely at the election of either party.
YOU AND PROVIAHEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION. THE PARTIES EXPRESSLY WAIVE ALL RIGHTS TO HAVE ANY DISPUTE HEARD, ADMINISTERED, OR RESOLVED ON A CLASS OR REPRESENTATIVE BASIS.
25 or more arbitration demands of a substantially similar nature filed within a 180-day period constitute a "Mass Filing" and will be administered in batches of 25 demands per batch, with one batch filed, processed, and adjudicated at a time. Fees associated with demands in a Mass Filing are only due after the demand is included in a properly designated batch.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any claims not subject to arbitration shall be brought exclusively in courts of competent jurisdiction in Texas.
These Terms set forth the entire understanding between you and ProviaRx regarding the subject matter herein. If any provision is found invalid by a court of competent jurisdiction, that provision will be modified to achieve the closest possible intent, and remaining provisions will remain in full force. ProviaRx's failure to enforce any Term does not waive its right to do so in the future. You may not assign your rights or obligations under these Terms without prior written consent from ProviaRx.
